Model Documents and Industry Guides
LAVCA produces localized Latin American versions of model legal documents drafted by the National Venture Capital Association and the British Venture Capital Association. These standardized documents aim to reflect best practices and to educate industry newcomers on how investments can be structured, terms and terminology, and the broader investment process.
The first product of this initiative, which is carried out by members of the LAVCA Legal Committee, is a Guide to Private Equity and Venture Capital Term Sheets in Brazil, now available in both English and Portuguese language versions. The Brazilian Guide includes references to local legal structures and practices; Spanish language versions of a Mexican Guide and Argentine Guide are currently in production. Also in production is a Brazilian Stock Purchase agreement in English and Portuguese.
